Agreement

These Terms of Service ("Terms") govern your use of the SFV Back Office website and the consulting and automation services we provide. SFV Back Office is operated under Elder Media LLC ("we," "us," or "our"). By engaging our services or using this website, you agree to these Terms.

Our services

We provide business-automation assessment, implementation, and managed services. Every engagement is governed by a separate written agreement or statement of work that describes the specific scope, deliverables, and fees. If there is any conflict between these Terms and a signed engagement agreement, the engagement agreement controls.

Client responsibilities

You are responsible for providing accurate information, access to the systems and documents reasonably necessary for us to perform the work, and the approvals required for consequential actions. You remain responsible for your own business decisions and for compliance with laws and regulations applicable to your business.

Approvals for consequential actions

As part of every engagement, we define which actions require your explicit approval — typically payments, pricing exceptions, contracts, sensitive personnel matters, and consequential customer communications. Our systems are configured to route those actions to you; we will not proceed on them without your approval.

Fees and payment

Fees are set out in the applicable engagement agreement or statement of work. Unless otherwise agreed, fees are due as specified in that agreement. Amounts quoted on this website are typical, indicative ranges and are scoped per client after an assessment.

Intellectual property

We retain ownership of our proprietary methodologies, templates, and tooling. Upon full payment, you receive a non-exclusive, perpetual license to use the deliverables created specifically for you in the ordinary operation of your business. Your pre-existing materials and data remain yours.

Confidentiality

Each party will keep the other's confidential information confidential and will use it only to perform under these Terms, except as required by law or with the disclosing party's consent.

No guarantees of specific results

We work to deliver meaningful, measurable improvements, but business outcomes depend on factors beyond our control. We do not guarantee specific financial results.

Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or related to these Terms or our services is limited to the fees you paid us in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data.

Termination

Either party may terminate a managed engagement in accordance with the notice and payment terms in the applicable engagement agreement. Fees for completed work remain payable upon termination.

Disclaimer of warranties

Our services and this website are provided "as is" and "as available," without warranties of any kind, express or implied, to the extent permitted by law.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Los Angeles County, California.

Changes to these terms

We may update these Terms from time to time. The current version will always be posted on this page with a revised "Last updated" date.
